2. Scope and customers
This website and our products are intended for business, academic, institutional, and research customers only. We do not sell to consumers or private individuals.
By placing an order, the customer confirms that the order is made for professional, academic, institutional, or research purposes.
3. Products and research use only
Our products are supplied for research and development use only. They are not intended for diagnostic, therapeutic, clinical, in vivo, food, cosmetic, household, or any other non-research use.
The customer is responsible for ensuring that the products are suitable for the customer’s intended research workflow and that all applicable laws, regulations, institutional rules, and safety requirements are complied with.
Unless expressly agreed in writing, we do not guarantee suitability for a specific DNA origami design, folding protocol, assay, analytical workflow, or downstream application.
4. Orders and contract formation
Products may be ordered through the online shop or requested by invoice or purchase order.
An order placed through the online shop constitutes an offer by the customer to purchase the selected products. A contract is formed only when we confirm the order by email or begin processing the order.
We reserve the right to reject or cancel orders, in particular if products are unavailable, customer details are incomplete, regulatory or shipping concerns exist, or the customer does not meet the requirements set out in these Terms.
5. Prices, taxes and payment
All prices are shown in EUR and are net prices excluding VAT, unless stated otherwise. Applicable VAT, shipping costs, customs duties, import taxes, bank charges, and other fees may be added where applicable.
Payment methods available in the online shop are shown during checkout. For qualified business, academic, institutional, and research customers, invoice- or purchase-order-based ordering may be available upon request. Invoice- or purchase-order-based orders are subject to our approval and become binding only upon our written order confirmation.
Unless otherwise agreed in writing, invoice payments are due within 30 days from the invoice date. Shipment may take place before payment is received. We reserve the right to require advance payment, refuse invoice-based ordering, or suspend shipment in individual cases, including where customer details are incomplete, creditworthiness is uncertain, or previous payments are overdue.
In the event of late payment, we may charge statutory default interest and claim further damages or costs to the extent permitted by applicable law.
6. Invoice and purchase order requests
Customers who wish to order by invoice or purchase order may submit an invoice request through the website or contact us by email.
The request should include the requested product(s), quantity, billing address, delivery address, VAT ID if applicable, customer contact details, and purchase order number if available.
We may accept or reject invoice- or purchase-order-based orders at our discretion.
7. Shipping, delivery and import
Products are shipped at ambient temperature unless expressly stated otherwise. Upon receipt, the customer is responsible for storing and handling the products in accordance with the applicable product documentation, label, or datasheet.
We currently ship to selected countries within the European Union. Availability of shipping options may depend on destination, product availability, and carrier service. Shipments to the United States may be available upon request and are subject to our confirmation, carrier availability, and applicable export, import, and customs requirements. We may refuse, suspend, or cancel shipments where export, import, customs, carrier, regulatory, or compliance concerns exist.
Delivery times and shipping options are provided during checkout or in our order confirmation. Delivery dates are estimates unless expressly confirmed as binding in writing.
The customer is responsible for providing accurate shipping information and for ensuring that the products may be lawfully imported, received, stored, handled, and used in the destination country.
For shipments outside the European Union, customs duties, import taxes, clearance charges, permits, registrations, and related fees are the responsibility of the customer, unless expressly agreed otherwise in writing.
Risk of loss or damage passes to the customer upon handover to the carrier, unless mandatory law provides otherwise or we agree otherwise in writing.
8. Inspection, damaged shipments and complaints
The customer must inspect the shipment promptly after delivery and notify us without undue delay of any visible damage, missing items, incorrect products, apparent defects, or other delivery issues. Hidden defects must be notified without undue delay after discovery.
Notifications should include the order number, description of the issue, photos if applicable, and any relevant carrier documentation.
If a product is defective or incorrectly delivered and the issue is confirmed by us, we may, at our discretion and subject to applicable law, replace the product, provide a credit, or refund the affected amount.
9. Returns, cancellations and refunds
Returns are accepted only with our prior written approval. Products must not be returned without our return authorization.
Opened, used, damaged, contaminated, improperly stored, custom-made, special-order, or customer-specific products cannot be returned, unless the return is due to a defect or error attributable to us.
Order cancellations may be accepted at our discretion if the order has not yet been processed, shipped, manufactured, reserved, or otherwise committed.
Approved refunds are processed using the original payment method or by credit note, unless otherwise agreed.
10. Product specifications, storage and handling
Product specifications, concentrations, quantities, storage conditions, shelf life, and handling instructions are provided on the product page, product label, datasheet, or other product documentation where applicable.
The customer is responsible for proper storage, handling, use, and disposal of the products after delivery.
We are not responsible for product degradation, loss of performance, or failed experiments resulting from improper storage, handling, thawing, dilution, contamination, use after expiry, or deviation from provided instructions.
11. Warranty
We warrant that, at the time of shipment, the products materially conform to the specifications provided by us.
Except as expressly stated in these Terms or required by mandatory law, we make no warranties regarding fitness for a particular purpose, compatibility with a specific protocol, or suitability for a specific experimental outcome.
The customer’s statutory rights under applicable mandatory law remain unaffected.
12. Liability
We are liable without limitation for intent, gross negligence, injury to life, body or health, and where liability is mandatory by law.
For slight negligence, we are liable only for breaches of material contractual obligations. In such cases, liability is limited to typical and foreseeable damages.
We are not liable for indirect damages, loss of profit, loss of data, failed experiments, loss of samples, business interruption, or other consequential damages, unless liability is mandatory by law.
13. Intellectual property and use restrictions
All intellectual property, know-how, product designs, documentation, trademarks, and technology remain the property of us or our licensors.
The customer may use the purchased products for its own internal research and development purposes, including the development and testing of the customer’s own DNA origami structures, assays, workflows, product candidates, or technologies.
The customer may not resell, redistribute, repackage, relabel, or otherwise supply the purchased products to third parties, whether as standalone products or as part of a kit, service, or other offering, unless expressly permitted by us in writing.
The customer may not reverse engineer, reproduce, copy, manufacture, or have manufactured the purchased products or substantially equivalent products for the purpose of resale, redistribution, or commercial supply to third parties.
The purchase of products does not grant any rights to our intellectual property, technology, trademarks, know-how, product designs, manufacturing processes, or documentation beyond the permitted use of the purchased products.
14. Export control and compliance
The customer must comply with all applicable export control, sanctions, import, customs, biosafety, chemical safety, and research regulations.
The customer must not use, export, re-export, transfer, or make available products in violation of applicable laws or sanctions.
We may refuse, suspend, or cancel orders where we have reasonable compliance, export, sanctions, import, safety, or regulatory concerns.
15. Force majeure
We are not liable for delays or failure to perform caused by events beyond our reasonable control, including supply chain disruptions, carrier delays, customs delays, natural disasters, epidemics, strikes, war, regulatory restrictions, power outages, or other force majeure events.
16. Governing law and jurisdiction
These Terms and all contracts concluded under them are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms or any contract concluded under them is Munich, Germany.
We may also bring claims against the customer at the customer’s general place of jurisdiction.
